Promoting the Success of the Group

DIRECTORS’ STATEMENT OF COMPLIANCE WITH DUTY TO PROMOTE THE SUCCESS OF THE GROUP

The Directors have a statutory duty to promote the success of the Group. This is achieved by working with the management team and staff to formulate long-term plans and strategic imperatives, which are monitored and updated regularly.

The directors of the Group acknowledge that they have acted in the way they consider, in good faith, would be most likely to promote the success of the Group for the benefit of its members as a whole, and in doing so have regard (amongst other matters) to:

1. the likely consequences of any decisions in the long term,
2. the interests of the Group’s employees,
3. the need to foster the Group’s business relationships with suppliers, customers and others,
4. the impact of the Group’s operations on the community and the environment,
5. the desirability of the Group maintaining a reputation for high standards of business conduct, and
6. the need to act fairly as between members of the Group.
